Terms of Service

These terms of service (“Terms”) govern your use of the Sample Digital Lab website and the digital marketing services provided by Sample Digital Lab Ltd (Company No. 13598330). By accessing our website or engaging our services, you agree to these Terms.

Sample Digital Lab provides digital marketing services including SEO, paid advertising, social media management, content marketing, email marketing, web design, analytics, and related consulting. The specific scope, deliverables, and fees for each engagement are defined in a separate service agreement or proposal.

When engaging our services, you agree to:

• Provide timely access to accounts, platforms, and assets required for service delivery
• Supply accurate business information and approve content within agreed timescales
• Pay invoices within the agreed payment terms
• Ensure that materials you provide do not infringe any third-party rights

Fees are outlined in your service agreement. Unless otherwise agreed:

• Monthly retainers are invoiced at the start of each calendar month
• One-off projects are invoiced as per the payment schedule in your proposal
• Payment is due within 14 days of invoice date
• Late payments may incur interest at 4% above the Bank of England base rate

Ad spend budgets (e.g. Google Ads, Meta Ads) are paid directly to the platform by the client and are not included in our management fees.

• Content, designs, and materials created by Sample Digital Lab for your engagement become your property upon full payment.
• Our proprietary tools, frameworks, templates, and methodologies (including the SDL Growth Method) remain our intellectual property.
• You grant us a non-exclusive licence to showcase completed work in our portfolio and case studies, unless you request otherwise in writing.

Both parties agree to keep confidential any proprietary or sensitive business information shared during the engagement. This obligation survives the termination of any service agreement.

• Monthly retainer services operate on a rolling monthly basis unless otherwise agreed.
• Either party may terminate with 30 days’ written notice.
• Upon termination, you retain full access to and ownership of your ad accounts, analytics, and all work produced.
• Outstanding invoices remain payable upon termination.

While we strive to deliver measurable results, we cannot guarantee specific outcomes such as search rankings, lead volumes, or revenue targets. Digital marketing performance depends on many factors beyond our control, including market conditions, competition, and platform algorithm changes.

Our total liability for any claim arising from our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

You may use this website for lawful purposes only. You must not:

• Use the website in any way that breaches applicable laws or regulations
• Attempt to gain unauthorised access to our systems
• Reproduce, distribute, or commercially exploit any content from this website without our written permission

The information on this website is provided for general informational purposes. While we make every effort to ensure accuracy, we do not warrant that the content is complete, accurate, or up to date. Case study results and testimonials represent individual client outcomes and are not guaranteed for all engagements.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services constitutes acceptance of the revised Terms.
